Please read these Terms of Service carefully before engaging CODEmintix for any project or service. These terms govern the relationship between you (the client) and CODEmintix.
1. Acceptance of Terms
By accessing this website or engaging CODEmintix for any service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, please do not use our website or services.
2. Services
CODEmintix provides digital services including, but not limited to, WordPress development, GoHighLevel (GHL) automations, landing page design, custom web development, SEO, app development, video editing, logo design, and social media management.
All services are subject to a separate project agreement, proposal, or statement of work that will be provided before work commences. The specific scope, deliverables, timeline, and fees will be defined in that agreement.
3. Payments & Fees
Payment terms, rates, and schedules are outlined in the individual project agreement. Unless otherwise agreed: - A deposit is required before project work begins (typically 50%) - Remaining balance is due upon project completion or at milestones specified in the agreement - Late payments may incur a fee of 2% per month on the outstanding balance - Prices are quoted exclusive of applicable taxes unless stated otherwise
4. Intellectual Property
Upon receipt of full payment for a project, CODEmintix assigns to the client all rights to the custom work created specifically for that project, including designs, code, and creative assets (unless otherwise agreed in writing).
CODEmintix retains the right to: - Display the work in our portfolio and case studies - Use general techniques, tools, and methodologies learned during the project - Retain ownership of any pre-existing code libraries, frameworks, or tools used
Third-party assets (fonts, stock images, plugins, frameworks) remain subject to their respective licences. The client is responsible for securing the appropriate licences for any third-party content included in the project.
5. Client Responsibilities
The client agrees to: - Provide timely feedback and approvals to keep the project on schedule - Supply all required content, assets, and access credentials when requested - Ensure they have the rights to any materials provided to CODEmintix - Review and test deliverables within the agreed review period - Pay invoices on time as per the agreed schedule
6. Revisions & Scope Changes
Project proposals include a defined number of revision rounds. Additional revisions beyond the agreed scope will be charged at our standard hourly rate.
Any changes to the project scope after sign-off may result in revised timelines and fees. Scope changes must be agreed in writing before additional work begins.
7. Warranties & Disclaimers
CODEmintix warrants that services will be performed in a professional manner consistent with industry standards.
We do not warrant that: - The website or application will be free from all bugs or errors at launch - Specific business outcomes (such as sales increases or search rankings) will be achieved - Third-party services or platforms integrated into the project will remain available or unchanged
Our liability is limited to the fees paid for the specific service in question.
8. Termination
Either party may terminate a project agreement with 14 days' written notice. In the event of termination: - The client will pay for all work completed to date at the agreed rates - CODEmintix will provide all completed work and associated files - Deposits are non-refundable once work has commenced
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project. This obligation continues for two years after project completion.
CODEmintix will not disclose client business information, strategies, or unpublished materials to third parties without written consent.
10. Governing Law
These Terms of Service are governed by applicable law. Any disputes arising from these terms or from a project engagement will first be attempted to be resolved through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration.
11. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes will be effective upon posting to this page with a revised date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
